TERMS OF USE FOR
DENTONS RODYK INSTANT VERIFICATION REPORTS (DRIVER) FOR DEVELOPERS
In these terms and conditions (“
Terms
”), “we”, “us” or “our” refers to Dentons Rodyk & Davidson LLP (“
Dentons Rodyk
”). “You” and “your” refers to any individual or organization which has access to DENTONS RODYK INSTANT VERIFICATION REPORTS (“
DRIVER
”) via https://driver.sg.dentos.com.
We may revise these Terms at any time without notice to you. Changes will be updated on DRIVER. By accessing DRIVER, you agree to be bound by the latest version of these Terms.
DRIVER gives you access to certain information and reports in respect of the development projects for which we represent you in the sale of the units therein.
DRIVER is based on our database which is maintained for overview purposes only, and DRIVER is provided to you for the same purpose.
DRIVER accounts are strictly non-transferable and access to your DRIVER account must be restricted to duly authorised persons within your organization who have provided us with their name, email address and Singapore mobile telephone number (“Authorised Persons”). You shall keep your DRIVER account ID and password confidential, and are solely responsible for any and all activities which occur under your DRIVER account. You shall notify us immediately if you have any reason to believe that the security of your DRIVER account has been compromised.
You represent and warrant that all information you provide, including without limitation, email address(es), Singapore mobile telephone number(s) and other details of the Authorised Persons is accurate, valid, current, and complete to the best of your knowledge and belief. Access to the content, information or services in DRIVER is linked to the email address(es) and Singapore mobile telephone number(s) that you have provided for your matters with us. You will promptly update us of any change to information which you have provided us.
DRIVER, including but not limited to all information, content, functionalities or services contained therein or made available by means of DRIVER, are provided on an "as is" and “as available” basis only and you use them at your own risk. You acknowledge that there will be a time lag between the actual receipt of any payment, document or information by us and the updating of such information in DRIVER.
We reserve the right to terminate and/or remove DRIVER, your DRIVER account or any information, content, functionality, feature and/or service on DRIVER, immediately without any reason or prior notice. Without prejudice to the generality of the foregoing, we reserve the right to terminate your DRIVER account immediately without prior notice if (a) You violate any of these Terms; (b) You have used or are using this DRIVER for any unauthorised purpose or activity; (c) Your DRIVER account is inactive; (d) You cease to be our client or no longer have any active project and/or matter that is under our care; (e) We deem fit to do so for security reasons or to protect our interests or the interests of other users of DRIVER.
We reserve the right to change, substitute or suspend without notice any information, content, functionality, feature and/or service of DRIVER from time to time. We may also make changes, enhancements and modifications to and/or perform maintenance and other services on DRIVER from time to time. Your access to DRIVER may be restricted while we do the above. You acknowledge and agree that we may access your DRIVER account and its contents as we deem fit.
We may use any hardware, software, equipment or material that we deem necessary or appropriate for DRIVER and you must comply with the directions and/or instructions which we issue in respect of the use of such hardware, software, equipment or material from time to time. We assume no responsibility for functionality which is dependent on internet connection, browser or other third party software or systems to operate.
To the extent permitted by law, we disclaim all warranties (whether express, implied or arising by statute or otherwise in law, or from a course of dealing or usage of trade) including but not limited to, any warranties:
of merchantability, satisfactory quality, fitness for any purpose, non-infringement;
as to the accuracy, completeness, currency or reliability of the information, content or services offered on DRIVER;
as to the security, authenticity, integrity or confidentiality of any activities and communications on DRIVER;
that any access to DRIVER or services will be uninterrupted, timely or error-free;
that DRIVER, its contents, information, servers or any e-mail sent from us are free of viruses, trackers, bugs, worms, time bombs, trojan horses, trap doors or other codes designed to permit unauthorised access, to disable, modify, erase, damage, steal or usurp data or otherwise harm any data or computer system;
that the use of DRIVER or its contents will not harm any data or computing system; and/or
that any identified defect will be corrected.
To the maximum extent permitted by law, and even if advised of the possibility of such damages, we shall not in any event be liable for any injury, loss, claim, damage, costs and expenses or any direct, indirect, special, exemplary, punitive, incidental or consequential damages of any kind or for any lost profits or lost savings, whether based in contract, tort (including negligence), equity, strict liability, statute or otherwise, suffered as a result of:
use of or access to DRIVER;
use of or reliance on information contained in DRIVER;
any error, mistake or inaccuracy of any nature;
any virus, tracker, bug, worm, time bomb, trojan horse, trap door or other codes designed to permit unauthorised access, to disable, modify, erase, damage, steal or usurp data or otherwise harm any data or computer system; or
any other reason associated with DRIVER.
Any failure by us to insist upon strict compliance with any term of these Terms shall not be construed as a waiver with regard to any subsequent failure to comply with such term.
These Terms shall be governed by the laws of the Republic of Singapore.
